In particular, Utah has become a hotbed for LLCs due to its favorable business environment and favorable tax and liability laws. Once the Certificate is filed and accepted by the Division, the LLC is officially formed and may begin conducting business in Utah.

Under the URLLCA, the LLC provides its members with limited liability. Additionally, the LLC provides its members with the ability to manage and control the LLC. In this case, the creditors have full right to claim the money owed from the company but have no right to Jimmy’s personal assets (bank deposits or gold or real estate).
